I have two HDs a primary 160gb partiontioned for XP and Leopard and a 300gb NTFS HD for file storage. Since I can use my 4gb FAT32 flash disk to transfer files from Leopard to Vista, i was wondering if I were to format the 300gb to Fat32 file system will I be able to read and write files to this HD through both mac and Windows?

YES, BUT

 

FAT32 has an inherent 4GB FILE SIZE limit.

 

So you're out of luck if you want to write a DVD image, or read in DV (Camcorder) tapes.

I've used NTFS-3G to good effect with Ubuntu, not had a chance to try it with OSX yet:

This would allow you to use an NTFS volume - no file size limit...

Thanks for shedding light on that. I think I will make a 80gb partition on my 300gb hd fat32...so I have some sort of middle ground b/t the mac and PC. Also is leopard and windows xp were to share this HD, it wouldn't lead to any corruption of data overtime would it?

No issues at all sharing Fat32 partition between leopard and xp/vista. However you wont be able to create a 80GB FAT32 partition from XP. Microsoft put an artificial limitation of 32GB FAT32 partition in XP. However If you create the partition using some other tool XP will happily read FAT32 even if it is bigger than 32GB.

Partition magic should not have a problem making a Fat32 partition larger than 32gb

I tried NTSF-3G on kalyway's 10.5.2 build, works like a charm. That'll be your best bet.
